These comprehensive Terms of Service govern your use of the Opintell Operational Intelligence Platform, tailored specifically for industrial, manufacturing, and enterprise-grade environments.

1. Master Service Agreement & Acceptance

Welcome to Opintell. By accessing, deploying, or utilizing our Operational Intelligence Platform, you enter into a legally binding contract with Opintell Technologies Inc. This agreement governs the provisioning of our cloud-based and on-premise AI systems, designed explicitly to process, analyze, and intelligently retrieve Standard Operating Procedures (SOPs), machine manuals, factory floor schematics, and critical operational knowledge bases.

Due to the critical nature of industrial deployments, failure to comply with these terms may result in immediate suspension of services to prevent disruption to manufacturing operations. You acknowledge that you have the requisite authority to bind your manufacturing organization, corporation, or entity to these exhaustive terms. If you do not agree with any provision set forth herein, you must immediately cease all access to the Opintell ecosystem.

2. Industrial Data Handling & Vectorization

The Opintell platform ingests highly sensitive, proprietary manufacturing documentation to formulate high-dimensional vector embeddings for Retrieval-Augmented Generation (RAG). You retain absolute ownership of all uploaded documentation, intellectual property, and internal SOPs. However, you grant Opintell a restricted, fully-encrypted, and non-transferable license to parse, chunk, and index this data strictly for the purpose of serving your organizational queries.

Under no circumstances will Opintell utilize your proprietary factory data, blueprints, or machinery configurations to train foundational models or share insights across different organizational tenants.Your data is strictly siloed using robust logical separation protocols in our PostgreSQL databases and pgvector extensions. We employ strict data-loss prevention mechanics to ensure that your operational intelligence remains entirely confined within your authorized tenant boundary.

3. Compliance, Safety & Manufacturing Standards

While Opintell utilizes state-of-the-art Large Language Models (LLMs) to retrieve and summarize your operational protocols, it is paramount to understand the limitations of artificial intelligence in physical manufacturing environments. The platform is designed as an assistive knowledge-retrieval tool, not a replacement for certified human engineering oversight.

Opintell does not guarantee the absolute technical accuracy of generated summaries, and responses must not be utilized as the sole basis for high-risk physical operations, machinery maintenance, or critical safety protocols. Operators must always cross-reference the original cited documentation provided by the platform before executing physical changes on the factory floor. Opintell assumes zero liability for machine downtime, production line halting, or workplace incidents resulting from improper application of AI-generated advice.

4. Intellectual Property Rights

All algorithms, software architectures, user interfaces, and embedded logic comprising the Opintell platform are the exclusive intellectual property of Opintell Technologies Inc. The vectorization pipelines, chunking methodologies, and context-assembly algorithms are strictly confidential trade secrets. You may not reverse-engineer, decompile, or attempt to extract the underlying source code of our RAG pipelines.

Conversely, your uploaded industrial knowledge base—including all PDF manuals, text files, machinery specs, and conversational histories—remains your exclusive property. We assert no claim of ownership over your manufacturing secrets or operational workflows.

5. Limitation of Liability in Industrial Contexts

To the maximum extent permitted by applicable commercial law, Opintell and its affiliates, executives, and engineering teams shall not be liable for any indirect, punitive, incidental, special, or consequential damages. This explicitly includes, but is not limited to, damages for loss of industrial production yields, equipment failure, supply chain disruptions, data corruption, or catastrophic factory downtimes.

In no event shall the total aggregate liability of Opintell exceed the total amount paid by your organization for the Opintell services during the twelve (12) months preceding the incident giving rise to the claim. This limitation applies regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Opintell has been advised of the possibility of such industrial damages.

6. Termination of Services

Opintell Technologies Inc. reserves the right to suspend or terminate enterprise access in the event of a material breach of these terms, failure to remit scheduled payments, or attempts to circumvent the platform's structural security parameters.

Either party may terminate this master service agreement with a standard thirty (30) day written notice. Upon termination, your organization's access to the Opintell dashboard and AI assistant will be immediately revoked. We understand the sensitivity of your operational data; therefore, we provide a structured off-boarding protocol.

Upon account deletion, Opintell executes a cryptographic wipe of your high-dimensional vector indices, original PDF source files, and conversation logs across all storage buckets and relational databases within 72 hours. You are responsible for exporting any necessary analytics or chat logs prior to the finalization of the termination process.
